2. Payments and Billing
- All fees are payable in advance unless otherwise agreed in writing.
- Payments are processed via secure third-party payment gateways.
- Invoices must be paid within the stipulated timeline mentioned in the invoice.
- Delayed payments may result in suspension of services without notice.
- All applicable taxes, including GST, shall be borne by the client.
3. No Refund Policy
Payments made towards services, licenses, hosting, development work, AMC, or subscriptions are non-refundable, unless explicitly stated otherwise in a written agreement.
4. Service Delivery
Service timelines are indicative and may vary depending on project scope, client inputs, approvals, and third-party dependencies. Delays caused by client-side non-cooperation shall not be considered a breach.
5. Client Responsibilities
- Providing accurate and complete information required for the project
- Timely approvals, content, and feedback
- Ensuring ownership or rights to provided content
- Maintaining backups unless explicitly covered under AMC
6. Intellectual Property
Unless otherwise agreed in writing, all intellectual property developed shall remain the property of Avid Web Solutions until full payment is received. Upon completion of payment, ownership shall be transferred as agreed.
7. Third-Party Services
We may integrate or rely on third-party services such as hosting providers, APIs, plugins, or software. We are not responsible for downtime, changes, or failures caused by third-party services.
8. Confidentiality
Both parties agree to maintain confidentiality of business, technical, and proprietary information shared during the course of service delivery.
9. Limitation of Liability
Avid Web Solutions shall not be liable for any indirect, incidental, consequential, or special damages arising out of the use or inability to use our services.
10. Suspension and Termination
We reserve the right to suspend or terminate services if:
- Payments are overdue
- Terms are violated
- Illegal or unethical activities are detected
11. Force Majeure
We shall not be held responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, government actions, internet outages, or cyber incidents.
12. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of courts in Rajasthan, India.
13. Changes to Terms
